Terms of Service

1. Who we are; what these terms cover
These Terms of Service ("Terms") are an agreement between you and PerformancePoint LLC("PerformancePoint," "we," "us") governing your use of PolicyPulse, our employee handbook and HR compliance software, available at this website and its connected application (the "Service").
By creating an account, purchasing a plan, or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
2. What PolicyPulse is — and is not
PolicyPulse is a software service that helps you draft, review, monitor, and maintain employee handbooks. It provides:
- Guided drafting and importing of handbook content, tailored to the jurisdictions you select;
- Ongoing monitoring of federal, state, and local legal developments relevant to your handbook;
- Alerts with suggested language, which you review, edit, approve, or reject;
- Version history, approvals, publishing, and export of your handbook documents.
PolicyPulse is a decision-support tool. It does not provide legal advice, and using it does not create an attorney-client relationship. PolicyPulse does not guarantee legal or regulatory compliance, and it cannot predict every law, regulation, interpretation, or employment matter that may affect your organization. You are responsible for reviewing all handbook content and consulting a qualified attorney or other professional where appropriate before relying on any policy or document.
3. Accounts
You must provide accurate account information and keep your credentials confidential. You are responsible for activity that occurs under your accounts. Accounts are for your organization's internal use; you may invite team members consistent with the plan you purchased and may not share account access outside your organization.
4. Plans, billing, and renewals
PolicyPulse is offered under the plans described on our pricing page, including one-time and annual plans. Prices are shown before checkout and, where applicable, taxes are calculated and collected at checkout.
- One-time plans (such as Build) are billed once and include the stated revision window from the date of purchase.
- Annual plans (such as Protect) renew automatically each year at the then-current price unless you cancel before the renewal date. You may cancel at any time from your account or by contacting us; cancellation stops future renewals and takes effect at the end of the current billing period.
- Payments are processed on our behalf by our merchant of record, Paddle, which handles checkout, billing, taxes, and related compliance. Charges appear on your statement from Paddle.

5. Your content
You retain all rights to the handbook content, branding, and other materials you upload, enter, or approve in the Service ("Your Content"). You grant us a limited license to host, process, and display Your Content as needed to operate the Service for you — including processing it through automated drafting and monitoring features. We do not sell Your Content.
Documents, drafts, and releases you create in the Service belong to you. You may export them at any time in the formats we support.
6. Our service and intellectual property
The Service — including the software, monitoring workflows, guided interviews, templates, and generated frameworks — is owned by PerformancePoint LLC and its licensors and is protected by intellectual property laws. We grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. You may not resell, sublicense, reverse engineer, or use the Service to build a competing product.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Upload malicious code, attempt to gain unauthorized access, or disrupt the Service;
- Represent PolicyPulse output as legal advice, or present the Service as your law firm or legal counsel;
- Use the Service on behalf of third parties outside your organization without a separate agreement with us.
8. Availability and changes
We work to keep the Service available and current, but we may modify, suspend, or discontinue features from time to time. If we make a material change that reduces the core functionality of a paid plan, we will notify you and, where reasonable, offer an alternative or a remedy.
9. Disclaimers and limitation of liability
The Service is provided "as is" and "as available." To the fullest extent permitted by law, PerformancePoint disclaims all warranties not expressly stated in these Terms, and PerformancePoint will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or employment claims, penalties, or litigation arising from your use of the Service or reliance on its output. Our total liability for claims relating to the Service is limited to the amounts you paid us in the twelve months before the claim arose.
Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Termination
You may stop using the Service and cancel your plan at any time. We may suspend or terminate accounts that violate these Terms or that we are legally required to act against. When your plan ends, your ability to use the Service ends, and we will make your exported content available for a reasonable period on request.
11. Governing law
These Terms are governed by the laws of the United States and the U.S. state in which PerformancePoint LLC maintains its principal place of business, without regard to conflict-of-laws rules. The state and federal courts located in that state have exclusive jurisdiction over disputes arising from these Terms.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the date above and, for material changes, notify account holders. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
